1. Agreement to Terms

By accessing or using Ludott's sports management platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

2. Description of Service

Ludott provides a comprehensive sports management platform that enables organizations, teams, and clubs to manage rosters, schedule events, track attendance, create lineups, and facilitate communication between coaches, players, and administrators.

3. User Accounts

Account Creation

• You must provide accurate and complete information
• You are responsible for maintaining account security
• You must notify us immediately of unauthorized access
• One person or entity per account unless otherwise agreed

Account Types

• Organization Admin: Full access to organization settings and management
• Coach: Team management and player roster access
• Player: Limited access to team information and personal data
• Platform Admin: System-wide administrative access

4. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose
• Impersonate another person or entity
• Upload malicious code or harmful content
• Attempt to gain unauthorized access to any part of the Service
• Interfere with or disrupt the Service or servers
• Collect or harvest user data without permission
• Use the Service to send spam or unsolicited communications
• Violate any applicable laws or regulations

5. Content and Data

Your Content

You retain ownership of content you upload to the Service. By uploading content, you grant us a license to use, store, and display your content as necessary to provide the Service.

Data Processing

We process your data in accordance with our Privacy Policy. You are responsible for ensuring you have necessary consents to upload and process personal data of team members, especially minors.

6. Subscription and Payment

Billing

• Subscription fees are billed in advance on a monthly or annual basis
• All fees are non-refundable except as required by law
• We reserve the right to change pricing with 30 days notice

Free Trial

Free trial periods, if offered, are subject to these Terms. At the end of the trial, you must subscribe to continue using the Service.

7. Intellectual Property

The Service and its original content, features, and functionality are owned by Ludott and are protected by international copyright, trademark, and other intellectual property laws.

8. Third-Party Services

Our Service integrates with third-party services including:

• WorkOS for authentication
• Cloudflare R2 for file storage
• Resend for email services
• Google Generative AI for import assistance

Your use of these services is subject to their respective terms and policies.

You agree to indemnify and hold harmless Ludott from any claims, damages, losses, or expenses arising from your use of the Service or violation of these Terms.

• Non-payment of fees
• Fraudulent or illegal activity
• Request by law enforcement

Upon termination, your right to use the Service will cease immediately. You may terminate your account at any time through the account settings.

Upon request, we will provide you with a copy of your data in a commonly used format. After account termination, we will delete your data in accordance with our data retention policy, except as required by law.

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions.

15. Dispute Resolution

Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

We reserve the right to modify these Terms at any time. Material changes will be notified via email or platform notification at least 30 days before they take effect. Your continued use of the Service after changes constitutes acceptance of the new Terms.

18. Entire Agreement

These Terms constitute the entire agreement between you and Ludott regarding the use of the Service, superseding any prior agreements.
